General Terms and Conditions of Sale

General Terms and Conditions of Sale · Booking Leads, the smart calendar that recovers your lost clients and triples your appointments.

CONTENTS

Preamble

These Terms and Conditions of Sale (the « Terms ») govern the distance and electronic sale of the BookingLeads WordPress plugin and of the associated services, marketed by Sdravobiz S.R.L. from the website https://bookingleads.pro and the shop https://sdravobiz.com.

BookingLeads is software that the Customer installs and runs on its own WordPress site, on its own hosting. The Publisher provides neither hosting nor any online execution service: it provides software, its updates and its support.

Every Order entails unreserved acceptance of these Terms in the version in force on the date of the Order. The Customer is invited to read them carefully and to print them or save them on a durable medium before confirming its Order.

The Customer is expressly invited to read Articles 8 (Licence of use and source code), 9 (Licence key and activations), 11 (Expiry, grace period and lockout), 13 (Dependencies), 15 (Lifetime licence), 17 (Withdrawal and refunds) and 20 (Warranties and liability), which set out the limits of the product and the allocation of risk between the Parties.

Article 1 — Definitions

  • Site (capitalised, in the context of activations): a distinct WordPress installation, identified by its address, on which the licence key is activated.
  • Publisher’s Site: the websites https://bookingleads.pro and https://sdravobiz.com, their subdomains and the customer account area.

  • Booking engine: the WordPress plugin or hosted scheduler that manages the Customer’s calendar, ahead of which the access screen is placed.
  • Contact management system: the contact management or customer relationship tool to which the Plugin copies Leads, or the webhook endpoint that the Customer enters for that purpose.

The Publisher is subject to Romanian VAT at the standard rate of 21% and is registered under the European Union’s One-Stop-Shop (OSS) scheme for distance sales of electronic services to consumers resident in another Member State.

Article 3 — Purpose of the Contract

These Terms set out the rights and obligations of the Parties in connection with the supply of the Plugin, its updates and the associated services.

The Product is sold worldwide, from Romania, by electronic means.

The Product is downloadable software, installed and run by the Customer on its own WordPress site. It is not supplied on a hosted basis. The Publisher operates no platform on which the Customer’s access screen would run, stores no Leads, and has no access to the Customer’s site or to its database.

What the Customer acquires is a licence key which, for a specified number of Sites, unlocks access to the updates served by the Licence Server and to support, on the terms set out in Articles 8 to 11.

The Customer acknowledges that, prior to placing its Order, it has been informed of the essential characteristics of the Product, its price, its conditions of performance, its technical requirements, its limits and these Terms. It acknowledges in particular that BookingLeads is a tool for qualifying and capturing contacts, and not a bespoke development, sales consultancy or traffic generation service: the results obtained depend directly on its audience, on the questions it writes, on its settings and on the resources it devotes to it.

Article 4 — Offers, services and prices

4.1 Annual subscription

The licence may be taken out as an annual subscription. For its term, the subscription confers the right to activate the Plugin on the number of Sites provided for by the offer, access to updates and access to support.

4.2 Lifetime licence

The licence may also be taken out as a lifetime licence: the Customer makes a single payment and is no longer liable for the annual subscription for the period defined in Article 15.

The Customer is expressly informed that the word « lifetime » refers to the commercial and technical lifespan of the Product, and not to a perpetual or unlimited term. The conditions, limits and cases of extinction of this arrangement are set out in full in Article 15, which the Customer acknowledges having read and accepted before placing its Order.

4.3 Number of Sites

The offers differ in the number of Sites on which the key may be activated simultaneously.

No feature of the Product is restricted according to the offer purchased. The access screen, the questions, the scoring, the routing, the measurement, the follow-ups, the white label and the connections are complete in every offer, at the first tier as at the last. Only collaborator accounts, which serve no purpose for a single user, open from the offers covering several Sites.

Details of the offers, the number of Sites included and the prices in force may be consulted in real time on the Pricing page of the Publisher’s Site, which forms an integral part of the Contract.

4.4 Launch offers

The Publisher may make launch offers, limited in time or in the number of Customers, comprising a preferential price, an increased number of Sites or particular benefits.

The conditions of a launch offer are those displayed on the day of the Order; they are acquired by the Customer for the licence concerned and are neither extendable to a subsequent order nor combinable with any other offer, save where expressly stated otherwise.

4.5 Support

The support included in the licences is written support, provided from the customer account area and by email. It does not include telephone conversations, video calls or one-to-one appointments.

It is subject to no time limit of its own: it is acquired for the whole term of the licence, including a lifetime licence, for as long as the Publisher continues its activity and publishes the Product.

It covers the installation, configuration and operation of the Plugin. It does not include: the development of bespoke features, the drafting of the questions on the Customer’s access screen, the configuration of its Contact management system, the administration of its hosting, the correction of its theme or of its other plugins, or the audit or takeover of its site.

The Publisher endeavours to provide a first response within a target time of one working day. This period is an objective and not a contractual undertaking.

4.6 Prices

Prices are displayed in euros (EUR) or in the currency selected by the Customer. They are stated exclusive of tax; the amount of applicable VAT is calculated at the time of payment in accordance with the rules set out in Article 6.

Prices do not include: the Customer’s domain name and hosting, the licences for the Booking engines, Contact management systems and other plugins it uses, the fees of third-party services it activates on its own initiative, or the commissions charged by payment providers.

4.7 Price changes and add-on modules

The Publisher reserves the right to change its prices at any time. Orders in progress are invoiced at the price in force on the day they are confirmed.

For annual subscriptions, any price increase is notified to the Customer by email at least thirty (30) days before it takes effect. A Customer who does not accept the new price list may terminate its subscription without penalty before the effective date; failing termination, the new price list applies to it from the next renewal date.

The Publisher further reserves the right to offer, in addition and at their own price, add-on modules whose operation entails recurring costs or a dependency on third-party application programming interfaces. These modules are not included in the licence, in whatever form, and their absence does not constitute a defect in the Product.

Article 5 — Order and formation of the Contract

Orders are placed online through the following steps:

  • selection of the offer, of the number of Sites and of the form of licence;
  • entry of billing information (identity, address, VAT number for EU Business Customers);
  • express acceptance, by means of a single tick box whose wording sets out each of these elements, of these Terms, of the Privacy Policy and — for Consumers — of the immediate supply of the Product entailing waiver of the right of withdrawal on the terms set out in Article 17;
  • secure payment;
  • confirmation of the Order by email, including the download link and the licence key.

The Contract is formed when payment is confirmed by the payment provider and the confirmation email is sent. The Publisher reserves the right to refuse an Order on legitimate grounds: suspected fraud, an ongoing dispute with the Customer, or manifest non-compliance of the intended use with Articles 18 and 19.

Article 6 — VAT and invoicing

6.1 Applicable VAT

  • Consumer resident in Romania: Romanian VAT at the standard rate of 21%.
  • Consumer resident in another EU Member State: VAT of the country of residence, applied under the OSS scheme.
  • Business Customer established in another EU Member State: reverse charge, subject to the provision of a valid EU VAT number verified through the VIES system. Failing that, VAT is applied.
  • Customer established outside the European Union: invoiced exclusive of VAT, the Customer remaining responsible for the taxes, duties and formalities applicable in its own country.

6.2 Invoicing

An invoice complying with Romanian tax requirements is issued for each Order and sent by email within a maximum of 72 hours after payment is confirmed. For annual subscriptions, an invoice is issued on each renewal date. Invoices are also available in the customer account area.

The Customer is responsible for the accuracy of the information it provides. Any request to amend an invoice following incorrect information supplied by the Customer may give rise to administrative charges.

Article 7 — Payment

7.1 Means of payment

Payment is made exclusively online, by bank card, through the payment provider Stripe (Stripe Payments Europe, Limited). Visa, Mastercard, American Express, Apple Pay and Google Pay are accepted, among others.

The Publisher stores no bank details. Payment information is collected and processed directly by the payment provider, in accordance with the PCI-DSS standard and with its own privacy policy.

7.2 Subscriptions and recurring payments

Annual subscriptions give rise to an automatic recurring charge on each renewal date, until terminated by the Customer on the terms set out in Article 16. The Customer expressly authorises this charge when placing its Order and undertakes to maintain a valid means of payment throughout the term of the subscription.

7.3 Non-payment

In the event of default, rejection or failure of payment, the Publisher informs the Customer by email and makes further attempts to take payment.

Failing regularisation, the licence key ceases to be valid and the consequences described in Article 11 apply: the Plugin’s administration area closes and its outbound transmissions cease, whilst the access screen continues to operate on the Customer’s public site and Leads continue to be recorded in its database.

The Publisher further reserves the right to commence any appropriate recovery proceedings and to claim the late-payment interest and the fixed indemnity provided for by the applicable law.

Article 8 — Licence of use and source code

8.1 The code is licensed under the GPL

The PHP code of the Plugin is distributed under the GNU General Public License, version 2 or later, in accordance with the rules of the WordPress ecosystem. The rights that this licence confers on the Customer are neither restricted nor made conditional by these Terms.

8.2 What the GPL does not cover

The following are not covered by the GPL and remain the exclusive property of the Publisher or of its licensors: the BookingLeads name and logo, the images, illustrations, typefaces, style sheets, documentation content and texts of the Publisher’s Site, together with the Publisher’s services and infrastructure — Licence Server, update channel, customer account area, support and community.

8.3 What is sold

What the Customer acquires by paying is access to the Publisher’s services: a licence key, a number of activations, the updates served by the Licence Server, and support. The price is not consideration for the delivery of the code, but for those services.

Accordingly, the Customer’s exercise of the freedoms conferred by the GPL — in particular redistributing the code — places the Publisher under no obligation to open access to its services to a third party, or to serve updates or support to a site that does not hold a valid activation.

8.4 Trade marks

The Customer may not redistribute a modified version of the Plugin under the BookingLeads name, logo or visual identity, or in any manner liable to suggest that it is published, approved or maintained by the Publisher.

Article 9 — Licence key, activations and number of Sites

9.1 Activation

The licence key is activated from the Plugin’s licence screen, on each Site where it is installed. Activation records the address of the Site with the Licence Server and uses up one activation from the quota of the offer subscribed to.

On each exchange with the Licence Server, the Site transmits only: the product identifier, the licence key, the address of the Site, the installed version number and an anti-replay nonce. No Lead data, no visitor address and no site content are transmitted.

9.2 Releasing an activation

The Customer may at any time deactivate the key on a Site from that same screen, including where the Plugin’s administration area is otherwise locked out. The activation is then returned to the quota and may be transferred to another Site.

Once the quota is reached, activation of a further Site is refused. It is for the Customer to release an activation or to purchase a higher offer.

9.3 What a Site is

An activation corresponds to one WordPress installation identified by its address. A change of domain name, a hosting migration or the regeneration of the site’s security keys may require reactivation. For that purpose the Plugin provides a tolerance period of seventy-two (72) hours and attempts an automatic repair with the Licence Server.

9.4 Confidentiality of the key

The licence key is personal. The Customer keeps it confidential and is answerable for any use made of it. Publicly disclosing a key, reselling it separately or sharing it with third parties outside the scope of Article 14 entitles the Publisher to revoke it without notice or refund.

Article 10 — Updates and distribution channel

Updates to the Plugin are offered directly within the Customer’s WordPress administration area, served by the Licence Server against a valid key. Each archive is sealed and verified by cryptographic signature before installation.

The following are included in the licence, for its term: bug fixes, compliance work for new versions of WordPress and PHP, adaptations to the supported Booking engines and Contact management systems, and new features of the Product, subject to Article 4.7 concerning add-on modules.

The Publisher gives no undertaking as to any release schedule, any future feature or any roadmap. Developments announced, presented or mentioned by way of indication do not constitute a contractual undertaking.

The Customer remains free not to install an update. It is then solely responsible for any resulting malfunctions, incompatibilities or vulnerabilities, and support may be made conditional on installation of the current version.

The Publisher may discontinue support for a major version of WordPress or PHP that has become obsolete, or for a Third-Party Component that is no longer maintained, without this constituting a lack of conformity.

Article 11 — Expiry, grace period and lockout

This article describes precisely what happens when a licence is no longer valid. The Customer acknowledges having read it before placing its Order.

11.1 Before expiry

Fourteen (14) days before a subscription expires, the Plugin displays a reminder in the Site’s administration area. Nothing is blocked.

11.2 Grace period

After expiry, the Customer has a grace period of seven (7) days. A banner draws attention to the situation; no feature is blocked during this period.

11.3 Lockout

At the end of the grace period, or immediately and without any grace period where the licence has never been activated, has been revoked, is invalid or has been detected on a cloned Site, the Plugin locks out. The lockout produces precisely the following effects:

  • The Plugin’s administration area closes. All of its screens — calendars, leads, statistics, settings — are replaced by the licence screen. Only entering or deactivating a key remains possible.
  • Outbound transmissions cease. Nothing further is sent to the Contact management system, the webhook endpoints, the team messaging channels or the email follow-ups.
  • The Customer’s public site is unchanged. The access screen continues to be displayed, to qualify and to capture; Leads continue to be recorded in the Customer’s database.
  • Nothing is deleted. No data is erased, altered or rendered unreadable. The Customer recovers all of its Leads as soon as a valid key is entered.

As the Customer’s data remains in its own database, it retains in all circumstances the ability to access it by its own means — backups, database exports, the administration tools of its hosting provider.

11.4 What does not cause a lockout

Unavailability of the Licence Server, a network outage or the absence of a response to a periodic check do not lock out the Site: the recorded status is never downgraded by a communication failure, and the expiry date is calculated from a date already known locally.

Article 12 — Installation, the Customer’s environment and requirements

12.1 Requirements

The Plugin requires a self-hosted WordPress site meeting the requirements published on the Publisher’s Site and restated in the Product archive, in particular a minimum version of WordPress and of PHP. It is for the Customer to verify, before placing its Order, that its environment satisfies them.

12.2 The Customer controls its own site

The installation, configuration, security, backup, performance and maintenance of the Customer’s site are its sole responsibility. The Publisher does not access the Customer’s site, save for delegated access which the Customer may open on an ad hoc basis in the course of support, revocable at any time.

12.3 Backups

As the Publisher holds no copy of the Customer’s data, it cannot under any circumstances restore it. It is for the Customer to put in place and to verify its own backups, in particular before any update of the Plugin, of WordPress, of its theme or of its other plugins.

12.4 Scheduled tasks

Certain functions — follow-ups, automatic purges, checks — rely on the WordPress task scheduler, whose execution depends on the site’s traffic. On a site with few visitors, these operations may be delayed. The Publisher recommends setting up a scheduled task at server level; its implementation is a matter for the Customer or its hosting provider.

Article 13 — Dependencies: booking engines, contact management systems and third-party services

13.1 The Plugin sits in front of what already exists

BookingLeads replaces neither the Customer’s calendar nor its contact management system: it connects to them. Its operation therefore presupposes interoperability with Third-Party Components which the Publisher does not control and whose terms, interfaces, formats and prices may change independently of its will.

13.2 Consequences accepted by the Customer

The Customer accepts that the occurrence of any of the following events — this list not being exhaustive — is outside the Publisher’s control and cannot give rise to its liability:

  • the modification, restriction, degradation or removal of a function, an application programming interface or an entry point of a Booking engine, a Contact management system or any other Third-Party Component;
  • changes to WordPress, PHP, a theme, a third-party plugin or a hosting configuration rendering a function unavailable or degraded;
  • the cessation of business, acquisition, change of policy or disappearance of a third-party publisher or of a hosted scheduler;
  • a conflict between the Plugin and other software installed by the Customer on its site;
  • any decision of a third-party supplier, a hosting provider or a public authority affecting the operation of the Customer’s site.

13.3 The Publisher’s right to adapt

Should any of these events occur, the Publisher may, at its sole discretion and without this constituting a breach of contract: adapt the Plugin, modify or restrict the functions concerned, discontinue support for a Third-Party Component, or offer a replacement solution. It will favour, in that order, the solutions least detrimental to the Customer, and will inform it with as much advance notice as possible.

13.4 No warranty of universal compatibility

No provision of the Contract, no statement on the Publisher’s Site, no documentation and no commercial exchange may be construed as a warranty that the Plugin is compatible with all themes, plugins, page builders, caching systems, web application firewalls, hosting environments, Booking engines or Contact management systems, existing or future.

The list of supported Booking engines and Contact management systems is that published on the Publisher’s Site at the relevant date. It is liable to change. Where an adapter is presented as not having been verified against a real installation, that statement constitutes an express reservation.

13.5 Services activated by the Customer

The webhook endpoints, messaging channels, imports from third-party schedulers and external calendars that the Customer enters in the Plugin are matters for its own accounts and for the terms of those services. The Publisher is neither their agent, nor their guarantor, nor an intermediary, and has access to neither those accounts nor their contents.

Article 14 — White label, resale and use on behalf of third parties

14.1 White label

White labelling is included in the Product at no extra cost: the Customer may rename the Plugin within its site’s administration area and disable the branding notice displayed by default.

This facility is a commercial feature. It alters neither the ownership of the Publisher’s rights, nor the nature of the licence, nor the allocation of liability set out in Articles 18 and 20. It does not dispense with compliance with Article 8.4 in the event of redistribution.

14.2 Use on behalf of third parties

A Customer acting as an agency, integrator or service provider may install the Plugin on its own clients’ sites, within the limit of the number of Sites under its offer. As against the Publisher, it remains the sole holder of the licence, the sole point of contact for support and solely responsible for compliance with these Terms on each of those Sites.

It is for that Customer to provide first-line assistance to its own end clients, who have no contractual relationship with the Publisher.

14.3 Resale prohibited

Reselling or redistributing licence keys is prohibited. The only exception: the Customer may use its keys on its own clients’ projects, as provided for in Article 14.2, provided that it never charges those clients for the licence key itself, separately from its services.

14.4 Commercial reference

Unless a refusal is notified to contact@bookingleads.pro, the Publisher may cite the Customer’s name and logo as a commercial reference in its communications materials. This right is exercised without prejudice to the white labelling provided for in Article 14.1, and never extends to the Customer’s Leads or to its figures.

Article 15 — Lifetime licence

15.1 Scope

In consideration of a single payment, the lifetime licence relieves the Customer of the annual subscription for the period defined in this article. It confers the right to activate the Plugin on the number of Sites under the offer, access to updates and access to support, on the same terms as a subscription in force.

That support is subject to no time limit: it is owed for as long as the Publisher continues its activity and publishes the Product.

It attaches to a specified Customer. It is not assignable, transferable or divisible, save with the Publisher’s prior written agreement.

15.2 Definition of the term — essential provision

The word « lifetime » means the commercial and technical lifespan of the Product, and not a perpetual, unlimited or guaranteed term.

By confirming its Order, the Customer expressly acknowledges having understood and accepted that the lifetime licence:

  • does not constitute a guarantee of the continued existence of the Product, of the publishing company, of a technology or of a Third-Party Component;
  • places the Publisher under no obligation to maintain the Product beyond what the components and ecosystem on which it depends allow;
  • creates no perpetual obligation on the Publisher;
  • does not prevent the Publisher from exercising the rights provided for in Articles 4.7, 10, 13.3 and 15.3.

This provision constitutes a decisive condition of the price agreed, without which the Publisher would not have contracted at that price.

15.3 Extinction of the lifetime licence

a) Discontinuation decided by the Publisher. Where the Publisher decides, on its own initiative, to discontinue the publication and support of the Product — for strategic or economic reasons or to reposition its offering — it notifies the Customer by email and observes six (6) months‘ notice before the Licence Server is actually shut down.

Throughout that notice period, updates and support continue to be provided under normal conditions, and the Publisher provides the Customer with the information useful for the continuation of its business. No further sum is charged in respect of the lifetime arrangement.

b) Discontinuation forced upon the Publisher. The six (6) months’ notice does not apply, and discontinuation may occur at shorter notice or even immediately, where it results from a cause external to the Publisher: a decision of a public authority, an event of force majeure within the meaning of Article 22, or the cessation of business, dissolution, liquidation or insolvency proceedings of the Publisher itself. The Publisher then undertakes, so far as materially possible for it, to pass on to the Customer such notice as it itself has and to inform it without delay. These undertakings constitute obligations of best endeavours.

c) What survives in all cases. Extinction of the lifetime licence brings updates and support to an end. It removes from the Customer neither the code already installed on its Sites, nor the rights conferred on it over that code by the GPL, nor its data, which remains in its own database.

In the event of the Product being permanently discontinued, the Publisher undertakes to publish the source code in full, free of any commercial condition, and to remove the licence mechanism from it, so that Sites already installed continue to operate without the Licence Server. This undertaking applies in case a) as in case b), limited, in the latter case, to what remains materially possible.

d) No indemnity. On expiry of the applicable notice period, or on the date of discontinuation where no notice could be observed, the lifetime licence is extinguished automatically. That extinction gives rise to no refund, no indemnity, no compensation and no damages, whatever the amount paid, whatever the date of the Order and whatever the actual period of use, subject to the mandatory provisions protecting Consumers.

The Customer acknowledges that this absence of indemnity is the direct consideration for the flat-rate price agreed, which is appreciably lower than the aggregate of the corresponding subscriptions, and that it constitutes a decisive condition of the offer.

e) Breach by the Customer. The lifetime licence may be terminated automatically, on the terms set out in Article 16.4, in the event of a serious breach by the Customer of these Terms, in particular of Articles 18 and 19.

15.4 Developments and add-on modules

The Customer accepts that certain functions covered by the lifetime licence may be modified or restricted on the terms set out in Articles 10 and 13.3, the lifetime arrangement being no obstacle to the exercise of those rights and such developments giving rise to no refund, even in part.

The add-on modules referred to in Article 4.7 are not included in the lifetime licence. The Customer’s refusal to subscribe to them does not terminate its licence, but excludes the functions concerned.

Article 16 — Term and termination

16.1 Term

Subscriptions are taken out for one year and renew automatically for an identical period until terminated. The lifetime licence is governed by Article 15.

16.2 Termination by the Customer

The Customer may terminate its subscription at any time, from its customer account area, without notice or justification. Termination takes effect at the end of the current period, which has already been paid for and is non-refundable, including in the event of early termination.

On the effective date, updates and support cease, and the consequences set out in Article 11 apply after the grace period.

16.3 Termination by the Publisher

a) For convenience. Where the Publisher decides on its own initiative to discontinue a subscription offer, it notifies the Customer by email and observes three (3) months‘ notice. The Customer is refunded pro rata for periods already paid for and not used.

b) For an external cause. Where the discontinuation results from one of the causes listed in Article 15.3 b), the three (3) months’ notice does not apply. The Publisher passes on to the Customer such notice as it itself has, informs it without delay and refunds pro rata the periods already paid for and not used, subject to its actual ability to do so in the event of insolvency proceedings.

c) Lifetime licence. This article does not apply to the lifetime licence, which is governed by Article 15.3.

16.4 Termination for breach

In the event of a serious breach by the Customer of any of its obligations — in particular persistent non-payment, breach of Article 18 or 19, unauthorised disclosure or resale of a key, or circumvention of the licensing mechanisms — the Publisher may immediately revoke the key and then terminate the Contract automatically fifteen (15) days after a formal notice has gone unheeded.

In the event of a serious and immediate threat to security, to legality or to the rights of third parties, revocation and termination may take effect without notice.

Termination for breach gives rise to no refund, including for a lifetime licence, and is without prejudice to any claim for damages.

Article 17 — Right of withdrawal and refunds

17.1 Exclusion for digital content

In accordance with article 16 lit. m) of OUG nr. 34/2014, the fourteen (14) day right of withdrawal does not apply to the supply of digital content not supplied on a tangible medium where performance has begun with the Consumer’s prior express consent and with the Consumer’s acknowledgement that it thereby loses its right of withdrawal.

By confirming its Order, the Consumer:

  • expressly consents to the immediate supply of the Product and of its licence key, and
  • expressly acknowledges that it thereby loses its right of withdrawal as from that supply.

That acceptance is evidenced by the tick box which the Consumer confirms when placing its Order, the wording of which expressly refers to the immediate supply and to the resulting waiver of the right of withdrawal.

17.2 No refund, and its single exception

No refund is granted. The Product is software made available immediately: delivery is complete as soon as the licence key and the download link are issued.

This rule has a counterpart: before placing an Order, the Customer has the means to assess the Product — the detailed description on the Publisher’s Site, screenshots of every screen, videos, documentation, and the option to request a live walkthrough. The Customer is invited to use them before buying.

There is a single exception, and its two conditions are cumulative:

  • the licence key has never been activated, on any Site, which the Licence Server establishes with certainty; and
  • the request is sent to contact@bookingleads.pro within fifteen (15) days of the Order.

Where both conditions are met, the refund is made in full and no supporting evidence is required. It is made to the original means of payment within fourteen (14) days of the request being accepted, and the key is revoked.

After the fifteenth day, no refund is possible, including where the key has never been activated.

And once a licence has been activated, even briefly, even on a single Site, even if since deactivated, no refund is possible, including within the fifteen (15) day period. Activation gives access to the download, to updates and to all of the Product’s functions: it constitutes full use of what was sold. The Customer is invited to check the requirements set out in Article 12 and the compatibility of its environment before activating its key.

This policy does not amount to a waiver of the provisions of Article 17.1, and is no obstacle to the Consumer’s mandatory rights in the event of an established lack of conformity, which are governed by Article 20.1.

17.3 Duplicate charge

Where the same Order has been charged twice, the surplus charge is returned on simple request sent to contact@bookingleads.pro. This is not a refund of a licence within the meaning of Article 17.2, but the return of a payment made without cause.

Article 18 — The Customer’s obligations and liability

The Customer is solely responsible for:

  • its website, its domain name, its hosting, its security, its backups and their restoration;
  • the questions it writes in the access screen, their lawfulness, their relevance and their proportionality having regard to the purpose pursued;
  • the scoring, refusal and redirection rules it configures, and their consequences for its visitors, in particular having regard to the rules on non-discrimination;
  • the consent wording displayed to its visitors, its compliance and the information it owes them;
  • the capacity of data controller which it exercises over the Lead Data, on the terms set out in Article 21;
  • the Lead retention period it configures, it being understood that the default value triggers no automatic purge;
  • the follow-up messages it drafts and sends from the Plugin, and their compliance with the rules applicable to electronic marketing;
  • the third-party services it connects — Contact management system, webhook endpoints, messaging channels, imports, external calendars — and the terms of those services;
  • the confidentiality of its licence key, of its customer account credentials and of the access it grants to its staff;
  • the accuracy of the information provided to the Publisher, in particular for invoicing purposes;
  • the compliance of its business with the regulations applicable to it: consumer law, pre-contractual information, sector-specific regulations, professional obligations and taxation.

The Customer indemnifies the Publisher against any complaint, action, claim or judgment brought by a visitor, a third party or an authority, founded on the Customer’s use of the Product, on the data it collects or on a breach of its obligations, and shall bear the resulting defence costs and awards.

Article 19 — Prohibited uses

The Customer is prohibited in particular from:

  • circumventing, disabling, neutralising or altering the licensing, verification, activation or update-sealing mechanisms, or attempting to obtain updates without a valid activation;
  • publicly disclosing, separately reselling, sharing or making available a licence key, outside the scope of Article 14;
  • activating the Plugin on more Sites than its offer allows, in particular by duplicating an installation;
  • impairing the integrity, security or availability of the Licence Server, of the update channel, of the customer account area or of the Publisher’s Site;
  • using the Product to collect from its visitors sensitive data within the meaning of article 9 of the GDPR, bank details or state-issued identifiers;
  • using the Product for any unlawful, misleading or fraudulent activity, or for unsolicited marketing in breach of the applicable rules;
  • configuring refusal or redirection rules based on a prohibited discriminatory criterion;
  • using the BookingLeads name, logo or visual identity in a manner liable to create confusion as to the origin of a modified version (Article 8.4);
  • requesting support for a Site that does not hold a valid activation.

References to « unlimited » on the Publisher’s Site are to be understood as meaning normal, good-faith professional use.

Any breach entitles the Publisher to revoke the key and to terminate the Contract on the terms set out in Article 16.4.

Article 20 — The Publisher’s warranties and liability

20.1 Warranty of conformity

The Publisher warrants that the Product conforms to the essential characteristics described on the Publisher’s Site. In the event of an established lack of conformity, it will, within a reasonable time, correct the defect or make a conforming version available.

Where a substantial lack of conformity cannot be corrected within a reasonable time, the Consumer retains the rights afforded to it by the applicable mandatory law, including, where appropriate, rescission of the Contract and a refund.

20.2 Obligation of best endeavours

The Publisher is bound by an obligation of best endeavours. The Product is supplied « as is ». The Publisher does not warrant uninterrupted, error-free or bug-free operation, or compatibility with all environments, themes, plugins, hosting arrangements and third-party services, existing or future.

20.3 Warranty exclusions

Expressly excluded from the warranty are defects, malfunctions or unavailability resulting from:

  • use that does not comply with the documentation or with these Terms;
  • modification of the Plugin’s code by the Customer or by a third party;
  • the Customer’s environment: hosting, PHP or WordPress version, theme, other plugins, caching, web application firewall, server configuration, scheduled tasks;
  • a Third-Party Component, a Booking engine, a Contact management system or a service activated by the Customer (Article 13);
  • the settings, questions, thresholds, routing rules and wording defined by the Customer;
  • failure to install an update released by the Publisher;
  • a fault in a visitor’s device, network, connection or browser;
  • an event of force majeure (Article 22).

20.4 No warranty of commercial results

The Publisher warrants no commercial result. In particular, it warrants no volume of contacts collected, no number of appointments, no attendance rate, no conversion rate, no turnover and no return on investment.

The funnels, rates, figures, calculators, screenshots, examples and testimonials published on the Publisher’s Site are provided by way of indication and do not constitute a contractual undertaking. The Customer acknowledges that an access screen has the mechanical effect of reducing the number of gross bookings, and that this reduction is the intended trade-off for better qualification.

20.5 Limitation of liability

To the fullest extent permitted by the applicable law, the Publisher’s total aggregate liability, on all grounds and for all heads of loss combined, is limited:

  • for annual subscriptions: to the sums actually paid by the Customer during the twelve (12) months preceding the event giving rise to liability;
  • for the lifetime licence: to one third (1/3) of the price actually paid in respect of that licence.

20.6 Excluded loss

The Publisher shall in no circumstances be liable for indirect or intangible loss, in particular: loss of unbacked-up data, loss of business, loss of turnover, loss of margin, loss of custom, loss of opportunity, appointments not booked, contacts not collected, migration or reconstitution costs, or damage to image or reputation, nor for the consequences of any unavailability of the Customer’s site or of a third-party service.

20.7 Reservation

The limitations and exclusions set out in this article do not apply in the event of the Publisher’s wilful misconduct or gross negligence, nor in the event of personal injury, nor in any case where mandatory law prohibits them, in particular for the benefit of Consumers.

Article 21 — Personal data

21.1 The Customer’s data

The processing of the Customer’s personal data by the Publisher — account, order, invoicing, licence, support — is governed by Regulation (EU) 2016/679 (GDPR), by Legea nr. 190/2018 and by the Privacy Policy, which forms an integral part of the Contract.

21.2 The Customer’s visitors’ data — the Publisher is not a processor

Lead Data is recorded in the database of the Customer’s site, on its own hosting. It passes through no server of the Publisher, is never transmitted to the Publisher and is not accessible to it.

Accordingly:

  • the Customer is the sole data controller within the meaning of article 4(7) of the GDPR: it determines the purposes and means, defines the legal bases and retention periods, informs its visitors, obtains the necessary consents, publishes its own privacy policy and responds to the exercise of data subject rights;
  • the Publisher is neither a controller nor a processor within the meaning of article 28 of the GDPR in respect of that data. It supplies software, not a processing service. No data processing agreement is required on that account, and none may be inferred from these Terms.

The position is otherwise in the single case where the Customer requests support requiring access to its site: the Publisher then acts as a processor, on the Customer’s specific and documented instructions, for the duration of that intervention alone, on the terms set out in the Privacy Policy.

21.3 What the Plugin makes available to the Customer

To assist the Customer in meeting its obligations, the Plugin records proof of consent (the exact wording displayed, a fingerprint, the date and the method of collection), registers a personal data exporter and eraser with the native WordPress tools, and offers a configurable retention period beyond which Leads are purged automatically.

The Customer is expressly informed that the default value of this setting triggers no purge: it is for the Customer to set a period consistent with its own policy. These functions are tools placed at its disposal; their configuration and use are matters for the Customer alone.

21.4 Confidentiality

Each Party undertakes to preserve the confidentiality of the other Party’s non-public information that comes to its knowledge, for the term of the Contract and for five (5) years thereafter.

Article 22 — Force majeure

Neither Party may be held liable for a failure whose performance is prevented by an event of force majeure within the meaning of article 1351 of the Romanian Civil Code.

The following, in particular, are regarded as such: natural disasters, fires, floods, armed conflict, terrorist attacks, general strikes, pandemics, widespread failures of telecommunications or electricity networks, large-scale cyberattacks, and any decision of a public authority rendering performance of the Contract impossible.

The Party affected shall notify the other as soon as possible. If the situation continues beyond sixty (60) days, either Party may terminate the Contract without indemnity.

Article 23 — Complaints and disputes

23.1 Prior complaint

Any complaint is to be addressed in the first instance to contact@bookingleads.pro. The Publisher undertakes to provide a first response within a target time of seventy-two (72) working hours and to propose a solution within a reasonable time.

23.2 Amicable resolution

A Consumer Customer may use an amicable resolution mechanism, and in particular may refer the matter to:

  • the Autoritatea Națională pentru Protecția Consumatorilor (ANPC, the Romanian National Authority for Consumer Protection): https://anpc.ro.

23.3 Jurisdiction

Failing amicable resolution:

  • Business Customers: the Romanian courts for the district of the Publisher’s registered office have exclusive jurisdiction.
  • Consumer Customers: jurisdiction is determined by the applicable rules of public policy, in particular Regulation (EU) No 1215/2012, which allows the Consumer to bring proceedings, at its option, before the courts of the Member State of its domicile.

Article 24 — Governing law

These Terms and the Contracts concluded under them are governed by and construed in accordance with Romanian law, to the exclusion of any other law, subject to the mandatory provisions of the law of the Consumer’s country of habitual residence which cannot be derogated from by contract (Regulation (EU) No 593/2008, « Rome I », article 6).

The GNU General Public License applicable to the code remains governed by its own terms.

Article 25 — Final provisions

25.1 Amendment of the Terms. The Publisher may amend these Terms at any time. The version applicable to each Order is the one in force on the date the Order is confirmed. For subscriptions in progress and for lifetime licences, any substantial amendment is notified at least thirty (30) days before it takes effect; a Customer who does not accept it may terminate its subscription without penalty before that date.

25.2 Entire agreement. These Terms, the description of the offer subscribed to and the Privacy Policy constitute the entire agreement between the Parties and prevail over any earlier or conflicting exchange, quotation, presentation or document, including the Customer’s purchasing terms.

25.3 Partial invalidity. If any provision of these Terms is held to be void, unlawful or unenforceable, the remaining provisions shall remain in full force. The Parties shall endeavour to replace it with a valid provision of equivalent economic effect.

25.4 No waiver. The fact that a Party does not rely on a breach by the other may not be construed as a waiver of its right to rely on it subsequently.

25.5 Assignment. The Customer may not assign the Contract without the Publisher’s prior written agreement. The Publisher may assign the Contract to any company within its group or in connection with a merger, contribution or transfer of business, provided that the assignee assumes its obligations.

25.6 Subcontracting. The Publisher may use subcontractors to perform the Contract, for whom it remains responsible towards the Customer.

25.7 Evidence. Electronic records — Licence Server logs, emails, online forms, payment provider receipts — kept in the systems of the Publisher or of its subcontractors are admissible as evidence, unless the Customer proves otherwise. This applies in particular to the finding that a key has never been activated, within the meaning of Article 17.2.

25.8 Language. These Terms are drawn up in the French language. Translations are offered as a courtesy; in the event of any discrepancy, the French version prevails for Customers outside Romania, and the Romanian version for Customers established in Romania and for any proceedings brought before a Romanian court.

25.9 Contact details. All correspondence relating to these Terms is to be addressed to:

Strada Trandafirilor 51
307220 Giroc, Roumanie
Legal and GDPR: contact@sdravobiz.com
Service, orders and support: contact@bookingleads.pro
